1. Who you are dealing with

“TDR Filer” is a trade name of Dali AI GmbH. We are a Swiss software company. We are not a GSA consultancy, we are not affiliated with the U.S. General Services Administration, and nothing on this site is legal advice or contract advice.
2. How a contract is formed
The free validator needs no account and creates no contract. A paid contract is formed in these steps, and not before the last one:
- You create an account with an email address and a password.
- You open the subscription page, where the price and the renewal terms are shown.
- You tick the box confirming these terms and the automatic monthly renewal, and submit.
- We confirm by email. That confirmation is the moment the contract starts.
You can review and correct every entry before you submit; nothing is charged from a form you have not submitted. We record which version of these terms you accepted and when.
3. What the service does
TDR Filer reads a sales export you upload, maps it to the FAS SRP Excel upload template, checks it against the rules the template itself states, and produces the file. It stores your column mapping and item data so the next month costs no work, reminds you before the deadline, and keeps a record of what was produced.
The service does not file anything with GSA on your behalf. You upload the file to the Sales Reporting Portal yourself, under your own credentials.
4. What we accept — and what you must not send
Transactional lines only. Do not upload contracts, price lists, quotes, statements of work, correspondence with your agency, or any material marked CUI, FOUO or classified. If you send such material anyway, you are in breach of these terms, and we may delete it and suspend the account.
The reason is FAR 52.204-21, which places “simple transactional information” outside Federal Contract Information. That boundary is what keeps this a simple tool. It is your responsibility to stay inside it — we cannot inspect the meaning of what you upload.
5. Price and payment
$79 per month, payable in advance by card. The price includes unlimited reports and unlimited lines. Access begins when payment is received and ends when the paid month ends.
Prices are net. As the service is supplied to recipients outside Switzerland, no Swiss value added tax applies. Any tax due in your own country is yours to handle.
6. Term, renewal and cancellation
The subscription renews automatically for one further month, each month, until you cancel. There is no minimum term and no notice period.
Cancel any time with the button in your account. Cancellation takes effect at the end of the month you have already paid for. You keep full access until then. Paid months are not refunded pro rata.
The one exception: if the service was unusable for a significant part of a month for a reason within our control, tell us and we will refund that month.
Files we produced for you stay downloadable during the subscription and for 30 days after it ends. After that they are deleted. Export what you need before then — the files are your record, not ours.
7. Liability
What we are responsible for: that the file we produce matches the official template — its sheets, its column names, their order, no formulas, no added tabs. If the Sales Reporting Portal rejects a file this service produced, send it to us and we will investigate and fix what is ours to fix.
What we cannot answer for: whether the numbers you upload are the right ones, whether your SINs and contract numbers are correct, whether you filed on time, and whether GSA accepts the report. We check the file against the template; we cannot check it against your business.
We are not liable for slight negligence. For everything else our total liability is limited to the fees you paid us in the twelve months before the event. We are not liable for indirect or consequential loss, lost profit, or loss arising from your contract with GSA.
Liability for intent and gross negligence, and any liability that cannot be excluded by law, is unaffected by the two sentences above.
8. Your data
Uploads made without an account are held in memory for 30 minutes and are never written to disk. With an account, we store what the service needs: your column mapping, your item data, and the files produced, together with the account email address.
The application and its database run on Fly.io infrastructure in Ashburn, Virginia, United States. We do not sell data, we do not use your uploads to train models, and we do not pass them to third parties other than the hosting and payment providers needed to run the service.

9. Our position relative to your government contract
TDR Filer is a commercially available off-the-shelf subscription, sold unmodified to anyone who signs up, for use in your own back office. It is not supplied under your government contract and nothing is delivered to the Government through it.
We are therefore not a subcontractor at any tier, we have no privity with the Government, and no FAR, DFARS or GSAR flow-down clause forms part of this contract unless we have agreed to it in a separate signed writing.
Two things in the regulation carry that. FAR 52.204-21(c) requires flow-down only into “subcontracts under this contract … other than commercially available off-the-shelf items”, and paragraph (a) excludes “simple transactional information” from Federal contract information in the first place. Both depend on the boundary in clause 4 holding, which is why we enforce it.
This is our reading, not advice about your contract. If your contracting officer or your prime takes a different view, tell us before you subscribe — we would rather decline the customer than sign a flow-down we cannot carry.
10. Changes to these terms
We may change these terms. We will tell you by email at least 30 days before a change takes effect, and you may cancel with effect from that date. Changes to the price follow the same rule.
11. Governing law and place of jurisdiction
These terms and the contract are governed by Swiss law, excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods. The exclusive place of jurisdiction is Sursee, Switzerland.
If a provision of these terms is invalid, the rest stays in force.
